These Terms and Conditions ("Terms") govern your use of the FringeTrax mobile application (the "App") operated by FringeTrax, LLC ("FringeTrax," "we," "us," or "our"). Please read these Terms carefully before using the App.

1. Acceptance of Terms

By downloading, installing, or using FringeTrax, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App. Your continued use of the App following any updates to these Terms constitutes your acceptance of the revised Terms.

2. Description of Service

FringeTrax is a mobile application designed to help S-Corp owners track and organize fringe benefits for shareholder employees. The App allows you to:

  • Record and categorize fringe benefit amounts across 24 benefit types
  • Track home office expenses, business travel costs, and receipt data
  • Upload and store receipt photos and supporting documents
  • Manage Augusta Rule rental rate tracking
  • Record meeting agendas, minutes, and strategic planning documents
  • Generate reports summarizing your tracked benefits

FringeTrax is an organizational and educational tool intended to help you keep your fringe benefit records organized throughout the year.

3. Not Professional Advice

IMPORTANT DISCLAIMER: FringeTrax is NOT a substitute for professional tax, legal, or accounting advice. The App is a record-keeping and organizational tool only.

  • We do not provide tax advice, tax preparation services, or tax guidance of any kind.
  • We do not guarantee the accuracy, completeness, or applicability of any calculations, reports, or information generated by the App.
  • We do not make recommendations about which fringe benefits to offer, how to structure your compensation, or how to handle any tax-related matter.
  • The categorization and tracking features in the App are for organizational purposes and should not be relied upon as tax or legal guidance.

You must consult with a qualified tax professional, CPA, or attorney for advice specific to your situation. Any decisions you make based on information in the App are made at your own risk and responsibility.

4. Account Registration

To use FringeTrax, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information to keep it accurate
  • Maintain only one account per person
  • Be at least 18 years of age or the legal age of majority in your jurisdiction
  • Accept responsibility for all activity that occurs under your account

You may register using email and password, Google Sign-In, or Apple Sign-In. You are responsible for safeguarding your login credentials and for any activity conducted through your account.

5. User Responsibilities

As a user of FringeTrax, you are responsible for:

  • Accuracy of Data: All financial data, fringe benefit amounts, expense figures, and other information you enter into the App is your responsibility. FringeTrax does not verify or validate the accuracy of user-entered data.
  • Tax Compliance: Compliance with all applicable federal, state, and local tax laws and regulations is solely your responsibility. FringeTrax does not ensure compliance on your behalf.
  • Account Security: Keeping your login credentials secure and confidential. You must notify us immediately if you suspect unauthorized access to your account.
  • Lawful Use: Using the App only for lawful purposes and in accordance with these Terms.

6. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose or in violation of any applicable laws
  • Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the App
  • Attempt to gain unauthorized access to any part of the App, other accounts, or any systems or networks connected to the App
  • Use the App to transmit malware, viruses, or other harmful code
  • Interfere with or disrupt the integrity or performance of the App
  • Use automated systems, bots, or scripts to access or interact with the App without our written permission
  • Reproduce, distribute, or create derivative works based on the App

7. Intellectual Property

The FringeTrax App, including its design, code, features, graphics, logos, and all related content, is the property of FringeTrax, LLC and is protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the App without our prior written consent.

Your Data: You retain full ownership of any data, documents, and images you enter or upload to FringeTrax. We do not claim ownership of your content. We use your data solely to provide the Service to you, as described in our Privacy Policy.

8. Data and Privacy

Your use of FringeTrax is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your information. By using the App, you consent to our data practices as described in the Privacy Policy.

You may request deletion of your account and data at any time through our Data Deletion Request page.

9. Limitation of Liability

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

To the fullest extent permitted by applicable law, FringeTrax, LLC shall not be liable for:

  • Any tax decisions, filings, or positions you take based on data tracked in the App
  • Missed deductions, incorrect benefit calculations, or errors in reports generated by the App
  • Tax penalties, interest, or assessments resulting from your use of or reliance on the App
  • Any financial losses or adverse financial outcomes arising from use of the App
  • Any indirect, incidental, special, consequential, or punitive damages arising out of your use of or inability to use the App
  • Loss of data due to technical failures, service interruptions, or circumstances beyond our reasonable control

In no event shall FringeTrax, LLC's total liability to you exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless FringeTrax, LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your use of the App
  • Your violation of these Terms
  • Your violation of any applicable law or regulation
  • Any tax-related decisions or actions you take based on information in the App
  • Any content or data you submit through the App

11. Termination

By You: You may stop using the App and request account deletion at any time by submitting a request through our Data Deletion Request page.

By Us: We reserve the right to suspend or terminate your account and access to the App at any time, with or without cause, and with or without notice. Reasons for termination may include, but are not limited to, violation of these Terms or conduct that we determine to be harmful to other users or to FringeTrax.

Effect of Termination: Upon termination, your right to use the App will immediately cease. You may request an export of your data before termination takes effect. After termination, we will delete your data in accordance with our Privacy Policy, unless retention is required by law.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we may notify you through the App via push notification or in-app message.

Your continued use of the App after any changes to these Terms constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you should stop using the App.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which FringeTrax, LLC is organized, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the appropriate courts of that jurisdiction.
